Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and the entity operating Fily, Flix Translations Group LLC, a Florida limited liability company with its principal place of business in Miami, Florida, United States (“Fily,” “we,” “us”). By creating an account, uploading a file, or otherwise using the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

1. The Service

Fily provides an automated, AI-assisted document processing and translation pipeline (the “Service”). You upload source files; the Service produces translated or processed output files while attempting to preserve formatting, tags, tables, and other structural elements. The Service may combine machine translation, large language models, optional human review steps, and automated quality checks. The specific steps applied depend on the file type, the options you select, and the plan you are on.

2. Nature of AI Translation — No Warranty of Accuracy

You understand and agree that translation output is generated wholly or in part by automated systems and machine learning models. Such output:

• is probabilistic in nature and may contain errors, omissions, mistranslations, or formatting issues, including errors that are not obvious;
• is not certified, sworn, or notarized translation unless you have separately contracted for, and we have expressly confirmed in writing, a certified deliverable;
• may vary in quality between runs, file types, language pairs, and subject matter; and
• is not a substitute for professional judgment, particularly for medical, legal, financial, regulatory, safety, or other high-stakes content.

Quality metrics, scores, or pass rates we may display (including QA scores) are internal indicators only. They are not a representation, guarantee, or warranty that any particular output is accurate, complete, or fit for your intended use.

3. Your Review Obligation

You are solely responsible for reviewing, verifying, and validating all output before relying on, publishing, distributing, or otherwise using it. The Service is a production tool, not a final authority. By using the Service you acknowledge that:

• you will have output reviewed by a qualified human reviewer appropriate to the content and its risk level before any use that could affect health, safety, legal rights, finances, or compliance;
• where your use is subject to regulatory, professional, or contractual accuracy requirements, meeting those requirements is your responsibility, not ours; and
• your decision to use any output, and the consequences of that use, are yours alone.

4. Service Provided “As Is”

To the maximum extent permitted by law, the Service and all output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that output will meet your requirements.

5. Limitation of Liability

To the maximum extent permitted by law:

• Fily will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service or any output, even if advised of the possibility of such damages;
• Fily will not be liable for any damages arising from errors, inaccuracies, or omissions in translation output, from your reliance on output, or from your failure to review output as required by Section 3; and
• Fily’s total aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the amounts you actually paid to Fily for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

6. Your Content and Responsibilities

You represent and warrant that:

• you own or have all rights, licenses, and permissions necessary to upload your source files and to have them processed by the Service;
• your source files and your use of the output do not infringe any third party’s intellectual property, privacy, confidentiality, or other rights, and do not violate any law;
• you are responsible for the accuracy and legality of your source content; and
• you will not upload content you are not permitted to disclose to a third-party processor.

7. Acceptable Use

You agree not to:

• use the Service for unlawful purposes or to process content that is illegal, harmful, or that you lack the right to process;
• attempt to reverse engineer, scrape, overload, or circumvent the Service, its rate limits, or its security; or
• resell or provide the Service to third parties except as expressly permitted by your plan.

8. Plans, Fees, and Billing

Paid use is billed according to the plan and pricing presented to you, which may be based on word count, file volume, selected processing options (such as human QA), or subscription tier. Unless stated otherwise, fees are exclusive of taxes, non-refundable, and due as described at the point of purchase. We may change pricing prospectively on notice. Trial allowances, if offered, are subject to the limits shown at sign-up.

9. Intellectual Property

As between you and Fily, you retain all rights in your source files and in the resulting output. You grant us a limited license to process, store, and transmit your content solely to provide the Service and as described in our Privacy Policy. Fily retains all rights in the Service, including its pipelines, models, software, prompts, configurations, and the look and feel of the product. No rights are granted except as expressly stated.

10. Confidentiality and Data

We handle your files and account data as described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for the security of your account credentials and for all activity under your account.

11. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. Sections that by their nature should survive termination (including Sections 2–6, 9, 12, and 14) will survive.

12. Indemnification

You will defend, indemnify, and hold harmless Fily and its officers, employees, and contractors from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of (a) your source content, (b) your use of any output, including any failure to review it as required, or (c) your breach of these Terms or violation of law.

13. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including failures of third-party AI providers, infrastructure, networks, or other force majeure events.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over any dispute, except where mandatory consumer protection law provides otherwise.
